1. Acceptance of Terms
By accessing, using, purchasing, or redeeming IDRP tokens, or by using any related services including the IDRP Wallet and the IDRP Platform (collectively referred to as the “Services”), you agree to be bound by these Terms and Conditions of Service (“Terms”). If you do not agree with any part of these Terms, you must not use the Services.
IDRP is a digital token developed and issued by PT Adhyoka Berkah Maju (hereinafter referred to as the “Company”, “we”, “us”, or “IDRP”). These Terms constitute a legally binding agreement between the user (“you”, “your”, or the “User”) and the Company regarding your access to and use of the Services.
These Terms may be amended, modified, or updated from time to time at the sole discretion of the Company without prior notice. Your continued access or use of the Services after any such changes shall be deemed as your acceptance of the revised Terms. You are advised to carefully read these Terms to understand your rights and obligations.
These Terms shall continue to apply to your use of the Services, including the act of purchasing or redeeming IDRP Tokens through the IDRP platform or transferring tokens to or from an IDRP Wallet.
2. Eligibility
To be eligible to access or use the Services, the following criteria must be met:
- You are an individual who is at least 18 years old and has full legal capacity under Indonesian law
- You are a legal entity duly incorporated and operating in accordance with the laws of the Republic of Indonesia or another jurisdiction acceptable to the Company
- You have completed all required KYC (Know Your Customer) procedures as determined by the Company in compliance with applicable AML-CFT regulations.
- You agree and are capable of complying with all applicable AML, CFT, and tax-related obligations; and
- You are not listed as a Prohibited Person, as described below. Prohibited Persons
You are not eligible and are strictly prohibited from accessing or using the Services if you are:
- An individual or entity listed on any sanctions list issued by the Bank Indonesia (BI), Otoritas Jasa Keungan (OJK), Lembaga Pusat Pelaporan dan Analisis Transaksi Keuangan (PPATK), or any other relevant authority in Indonesia;
- A resident, citizen, or entity established or acting on behalf of individuals or entities from jurisdictions that are subject to sanctions, embargoes, or legal restrictions as determined by relevant Indonesian or international authorities;
- A person involved in or reasonably suspected of involvement in money laundering, terrorism financing, corruption, or other criminal activities;
- An individual or entity attempting to access or use the Services on behalf of another person who would be considered a Prohibited Person.
The Company reserves the right to determine eligibility at its sole discretion and to reject or terminate access to any user who fails or is suspected of failing to meet the above criteria. The Company also reserves the right to report any suspicious activity to the relevant authorities in accordance with prevailing AML-CFT laws and regulations.
3. Right to Use
Subject to these Terms, IDRP grants you a personal, limited, non-transferable, revocable license to use the Services. This license does not convey ownership or rights beyond those explicitly stated herein.
IDRP may suspend or terminate your access at any time based on regulatory compliance, suspicion of misuse, or violations of these Terms.
4. IDRP Tokens: Issuance and Redemption
- IDRP Tokens are stablecoins pegged to Indonesian Rupiah (IDR), issued and managed by PT Adhyoka Berkah Maju.
- Each token is backed by reserves held in cash or cash equivalents.
- Redemption and issuance of IDRP Tokens may be subject to minimum thresholds and fees.
- Tokens are not legal tender and are not guaranteed or insured by any government or financial institution.
- Redemptions may be delayed due to liquidity constraints or legal obligations.
5. Blockchain Protocols and Forks
- IDRP Tokens may exist on multiple blockchains.
- In the event of a blockchain fork, only the version explicitly supported by IDRP shall be recognized as valid.
- Users must migrate tokens to supported blockchains as instructed by IDRP.
6. Wallet Security and Transaction Risks
- Your wallet is controlled via your private key. Losing this key may result in permanent loss of your tokens.
- IDRP is not responsible for losses due to user error, technical failure, or use of third-party wallets.
- Transactions are final and irreversible.
7. Prohibited Use
You are strictly prohibited from using the Services for any activity that is illegal, abusive, fraudulent, or in violation of applicable laws and regulations. The following are examples of prohibited uses, which include but are not limited to:
- Money Laundering, Terrorism Financing, and Corruption
Using the Services to conduct or facilitate any act of money laundering, terrorism financing, bribery, or other forms of corruption, or to conceal or disguise the origin of illicit funds. - Violating Indonesian or international law
Using the Services in a manner that violates any applicable law or regulation in Indonesia or internationally, including those relating to financial services, digital assets, and consumer protection. - Transactions with Prohibited Persons or Jurisdictions
Using the Services on behalf of, or transacting with, individuals, entities, or jurisdictions that are subject to sanctions, embargoes, or other legal restrictions under Indonesian or international law. - Identity Fraud or Misrepresentation
Submitting false, misleading, or fraudulent information, including the use of fake identities, forged documents, or impersonating another person or entity. - Cybersecurity Violations
Attempting to gain unauthorized access to any part of the platform or Services, engaging in hacking, phishing, spamming, distribution of malware, or interfering with the security or functionality of the system. 6. Use of Obfuscation Tools - Use of Obfuscation Tools
Using virtual private networks (VPNs), anonymizers, mixing services, or other tools intended to hide your identity, location, or transaction history to circumvent compliance checks or legal restrictions. - Tax Evasion
Using the Services to evade taxes or to facilitate the concealment of taxable income or assets. - Unlawful Asset Transfers
Transferring, receiving, or holding IDRP Tokens or other digital assets that are derived from or intended to support illegal activities. - Platform Abuse
Exploiting bugs or system vulnerabilities, disrupting the Services, interfering with other users, or otherwise attempting to harm the Company or its users.
IDRP reserves the right to take any action it deems necessary in response to a violation of this clause, including suspension or termination of access to the Services, and reporting to relevant authorities. We are committed to upholding the integrity, legality, and safety of the IDRP ecosystem in accordance with Indonesian and international best practices. Users are expected to act in good faith and in full compliance with all applicable laws.
8. Suspension and Termination
IDRP reserves the right to suspend or terminate your access to the Services, freeze any IDRP Tokens held by you, or terminate your IDRP Wallet and related functions, at any time, with or without prior notice, in any of the following circumstances:
- Violation of any Terms;
- Government or regulatory order
If required by a lawful request from any government authority or regulatory body, including but not limited to court orders, subpoenas, or any legal proceedings, IDRP may suspend or terminate your access to the Services, including freeze assets, and/or take other actions as mandated. - Suspicion of fraudulent activity;
- Use of the platform for illegal purposes;
- Security Risk;
- Failure to meet compliance requirements.
In the event of suspension or termination, IDRP may take steps including freezing assets, withholding withdrawals, or disabling wallet functions. IDRP shall not be held liable for any losses or damages resulting from such actions. Users will remain responsible for any obligations incurred prior to the suspension or termination of access. Where permitted by law and internal policy, IDRP may notify the User of the reason for the action taken.
9. Confidentiality
In the course of accessing or using the Services provided by IDRP, Users may receive or become exposed to certain non-public, proprietary, sensitive, or otherwise confidential information, whether oral, written, digital, visual, or in any other form, that relates to the operations, technology, systems, products, services, business processes, strategies, financial condition, or internal affairs of IDRP (“Confidential Information”).
Users acknowledge and agree that all such Confidential Information is the exclusive property of IDRP and is provided or made accessible solely for the purpose of enabling the User to engage with the IDRP platform in accordance with the applicable terms and conditions. Users must treat all such Confidential Information as strictly confidential and must not disclose, disseminate, reproduce, or use such information for any purpose other than as expressly permitted in writing by IDRP.
This obligation of confidentiality applies at all times, including during the term of the User’s relationship with IDRP and following its termination for any reason, and includes but is not limited to:
- Information related to IDRP’s platform infrastructure, smart contracts, tokenomics, algorithms, and wallet architecture;
- Details of compliance procedures, security protocols, identity verification systems, and AML/KYC mechanisms;
- Commercial terms, business strategies, or ongoing regulatory discussions and approvals;
- Information shared through non-public communication channels, developer portals, user dashboards, or support communications.
Users may only disclose Confidential Information if and to the extent that:
- The information becomes publicly available through lawful and non-breach-related means, and not through any act or omission of the User;
- Disclosure is required by law, court order, government authority, or regulatory agency, in which case the User must, to the extent legally permissible, provide prior written notice to IDRP to allow the Company an opportunity to seek protective measures or other appropriate remedies;
- Disclosure is expressly authorized in writing by IDRP, or is otherwise permitted under applicable Indonesian law or regulation.
Users must take all reasonable measures to prevent unauthorized access to or disclosure of the Confidential Information, including implementing appropriate physical, technical, and organizational safeguards, and limiting access to only those persons who have a legitimate need to know such information.
Any breach of this confidentiality obligation may result in immediate suspension or termination of access to the IDRP Services and may expose the User to legal liability, including for damages or injunctive relief.
This confidentiality obligation shall survive the termination, expiration, or cessation of the User’s relationship with IDRP, regardless of the reason for such termination.
10. Intellectual Property
All intellectual property rights in and to the IDRP platform, including but not limited to the software, source code, architecture, algorithms, user interface, design elements, content, documentation, trademarks, service marks, trade names, logos, and any other proprietary materials or technologies developed or provided by PT Adhyoka Berkah Maju (the “Company”), are and shall remain the sole and exclusive property of the Company or its licensors.
Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the IDRP platform and its features solely for personal or internal business purposes, and strictly in accordance with the Terms of Use and any applicable laws and regulations.
Users shall not, without the prior express written consent of the Company:
- Copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, or otherwise exploit any part of the IDRP platform or its content for commercial or public purposes;
- Use any trademarks, service marks, trade names, or logos of the Company in a manner that may cause confusion or imply endorsement or association;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of the platform, smart contracts, or any associated technologies;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices embedded in or displayed by the platform.
Any unauthorized use or infringement of the Company’s intellectual property may result in suspension or termination of access to the Services and may subject the User to civil or criminal liability under applicable intellectual property laws.
The Company reserves all rights not expressly granted herein.
11. User Representations and Warranties
By accessing or using IDRP’s Services, users represent, warrant, and undertake the following, and you acknowledge that IDRP relies on the accuracy and completeness of these statements:
- Legal Capacity and Authorization
- You are at least eighteen (18) years of age and have full legal capacity to enter into this agreement.
- If acting on behalf of an organization or legal entity, you are duly authorized to bind such entity to these terms.
- You are not subject to any legal restrictions that would prevent your use of the Services.
- Lawful Use and Compliance
- You shall not use the Services for any unlawful purpose, including but not limited to fraud, money laundering, terrorism financing, or other criminal activities.
- You, and any entity you represent, are in compliance with applicable anti-money laundering (AML), counter-terrorism financing (CTF), anti-bribery, anti-corruption, and economic sanctions laws.
- You and your affiliates are not designated as sanctioned persons or entities by any relevant sanctions authority.
- You have not been subject to fines, enforcement actions, or regulatory penalties related to financial misconduct.
- Digital Asset Understanding and Responsibility
- You understand the nature, volatility, and regulatory risks of using blockchain-based systems and digital assets.
- You have independently obtained legal, financial, tax, or technical advice where necessary.
- You are the lawful and beneficial owner of all tokens or fiat currencies used on the platform, free of third-party claims, liens, or encumbrances.
- You accept full responsibility for any taxes, reporting obligations, or declarations arising from your use of the Services.
- Jurisdiction and Geographic Restrictions
- You do not reside in or operate from any jurisdiction that is prohibited or restricted by IDRP or applicable law.
- You are not subject to any insolvency, bankruptcy, or similar proceedings.
- Conduct and Obligations
- You have not and will not offer, promise, or authorize any improper payment, bribe, or other unlawful inducement in connection with your use of the Services.
- You agree to maintain accurate, up-to-date, and complete information on file with IDRP.
- You will promptly notify IDRP if any representation made herein becomes inaccurate or misleading.
- Cybersecurity and System Use
- You will take all reasonable steps to secure and protect your access credentials and digital wallets, including implementing cybersecurity controls.
- You acknowledge that digital assets held in your IDRP Wallet are not segregated, insured, or guaranteed.
- You agree that any instruction issued through your registered credentials shall be deemed valid and binding on you, without further verification by IDRP.
12. Disclaimer and No Warranty
While IDRP makes reasonable efforts to ensure its platform and services operate securely and efficiently, Users understand that uninterrupted, error-free, or fully real-time performance cannot be assured, particularly given the decentralized and evolving nature of blockchain technology.
- No Performance Assurance
IDRP does not represent or guarantee that any outcome or result derived from use of its Services will be precise, suitable, or dependable for any specific task, objective, or financial expectation.
- Service Basis
All features and functions made available by IDRP are offered strictly 'as is' and 'as available'. No express or implied warranties, such as those related to merchantability, fitness for a specific purpose, system security, or uninterrupted access, are provided by IDRP.
- Limitation of Responsibility
To the extent permitted by applicable law, PT Adhyoka Berkah Maju, including its affiliates, officers, personnel, and representatives, disclaims any liability for losses or damages, whether tangible or intangible, arising from scenarios including but not limited to:
- Inability to log in, access, or use the platform;
- Decrease in token value, usability, or expected functionality;
- User error or failure to protect personal login details or wallet credentials;
- Loss or theft of digital assets due to external attacks or unauthorized access;
- Bugs, defects, or vulnerabilities in the software or blockchain networks utilized;
- Legal or regulatory enforcement affecting User accounts or digital holdings;
- Improper asset transfers to non-official channels or impersonating parties;
- Forks, cyberattacks, or market volatility;
- Use of third-party tools, malware, or unauthorized scripts impacting service delivery;
- Disputes between Users or between Users and third parties;
- Failure to meet expectations related to token liquidity or market performance;
- Any consequences resulting from the use or misuse of tokens, wallets, or smart contracts on the IDRP platform.
- User Responsibility
Users acknowledge and accept that the sole and exclusive remedy in the event of dissatisfaction with the Services is to discontinue usage. IDRP bears no obligation to compensate Users for any negative outcome resulting from service limitations, blockchain volatility, or operational interruptions.
13. Tax Responsibility
Users are responsible for determining and fulfilling their own tax obligations arising from use of IDRP Tokens or Services. IDRP does not offer tax advice.
14. Force Majeure
IDRP shall not be held liable for any delay, failure, or disruption in the provision of its Services resulting from events or circumstances beyond its reasonable control. These include, but are not limited to, acts of God, natural disasters, public health emergencies, wars, civil unrest, governmental restrictions, changes in law or regulation, labor disputes, cyberattacks, system failures, or any event rendering the Services materially impracticable to operate.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any dispute, claim, or controversy arising out of or in connection with these Terms or your use of IDRP’s Services shall be subject to the exclusive jurisdiction of the courts of the Republic of Indonesia.
16. Assignment
Users may not transfer, assign, or delegate any of your rights or obligations under these Terms without the prior written consent of IDRP. IDRP reserves the right to assign, transfer, or delegate any of its rights and obligations under these Terms without restriction or prior notice, including in connection with a merger, acquisition, or sale of assets.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, such provision shall be modified to the minimum extent necessary to reflect the original intent, and the remainder of the Terms shall continue in full force and effect.
18. Survival of Terms Post-Redemption
The redemption or withdrawal of IDRP Tokens, or closure of an IDRP Wallet, shall not affect or discharge any obligations that, by their nature, are intended to survive termination. This includes, without limitation, obligations relating to confidentiality, compliance, representations and warranties, indemnities, and limitations of liability.Redemption or withdrawal of IDRP Tokens does not terminate your obligations under these Terms, especially regarding confidentiality and representations.
19. AML-CFT Policy
IDRP upholds a strict commitment to comply with all applicable Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) regulations as enforced under Indonesian law. This includes, but is not limited to:
- Conducting user due diligence and identity verification (KYC);
- Monitoring transactions for unusual, high-risk, or suspicious activity;
- Maintaining adequate records of all transactions and user interactions;
- Filing reports with relevant authorities where required by law or regulation.
As a user, you agree to fully cooperate with any requests made by IDRP in support of its AML-CTF obligations. This may include providing additional documents, clarifying the source or purpose of funds or tokens, and accepting temporary restrictions on access to your account, assets, or transactions pending further review. Non-cooperation or failure to meet these requirements may result in suspension or termination of your access to IDRP Services.
20. Complaint Service
Users who wish to report complaints related to data breaches, loss of crypto assets, or misuse of services should contact IDRP through the official support channels. Complaints can be submitted via email at[email protected], through the chat feature on the website, or via the contact form available on the IDRP website.
Upon receipt of a complaint, IDRP will aim to provide a response within three (3) business days. If further investigation is necessary, IDRP may request relevant documentation to support the claim and, in some cases, may temporarily suspend or freeze the affected account until the matter is resolved.
